Terms of Service

These Terms of Service (hereinafter referred to as these “Terms”) set forth the conditions for use of the online store “Pine-Avenue Clothes Shop” (hereinafter referred to as the “Site”) operated by RODEO Co., Ltd. (hereinafter referred to as the “Company,” “we,” “us,” or “our”).

Please review these Terms before using the Site. By placing an order for products through the Site, you are deemed to have agreed to these Terms. If you do not agree to these Terms, please refrain from placing an order.

Please note that this Site is an online store intended for customers in Japan. If you would like to have your order shipped to an address outside Japan, please use our international online store.

Article 1. Application of These Terms

These Terms apply to all use of the Site by customers, including browsing the Site, placing orders, making inquiries, and any other use related to the Site.

All policies, product descriptions, shipping information, return and exchange information, and other notices posted by the Company on the Site shall constitute part of these Terms.

If there is any inconsistency between these Terms and any individual notice or policy posted on the Site, the individual notice or policy shall prevail unless otherwise expressly stated.

Article 2. About the Site

The Site is an online store for customers in Japan that sells clothing, fashion accessories, and other related products.

This Site only accepts orders for delivery within Japan. We do not ship overseas from this Site.

The Site is operated using services provided by Shopify Inc. and its affiliates. However, the Company is responsible for product sales, order handling, shipping, returns and exchanges, and customer inquiries on the Site.

Article 3. Access and Accounts

When using the Site, placing an order, or making an inquiry, customers shall provide accurate and up-to-date information.

If there is any error in the name, address, phone number, email address, payment information, or any other information entered by the customer, it may interfere with product delivery, order confirmation, communications, refund procedures, or other necessary processes.

If a customer creates an account on the Site, the customer shall properly manage their account information and login credentials.

Except in cases where the Company has acted intentionally or with gross negligence, the Company shall not be liable for any damages arising from insufficient account management, errors in use, use by a third party, or similar circumstances.

Customers may not transfer, lend, sell, or allow any third party to use their account.

Article 4. Product Information

The Company makes every effort to display product images, descriptions, sizes, materials, colors, specifications, prices, stock availability, and other product information on the Site as accurately as possible.

However, product colors and textures may appear different from the actual product depending on the customer’s device, screen settings, viewing environment, lighting conditions at the time of photography, and other factors.

In addition, product measurements may be taken by hand, and slight individual differences or measurement differences may occur. In particular, for clothing, even products with the same product number and size may have slight individual differences due to fabric, sewing, processing, washing, storage conditions, and other factors.

Product specifications, prices, stock availability, and sales conditions may be changed or discontinued without prior notice.

Article 5. Orders and Formation of Sales Contract

When a customer completes the order procedure on the Site, the order constitutes an application to purchase the relevant product.

The automatic order confirmation email sent after completion of the order procedure is intended to notify the customer that the order has been received, and does not constitute acceptance of the order by the Company.

A sales contract for the relevant order shall be formed when the Company confirms the order details and sends the customer an email indicating acceptance of the order or an email regarding shipment arrangements. However, depending on the payment method or order details, the Company may contact the customer separately.

If any of the following applies, the Company may decline to accept the purchase application before the order is finalized, or may take necessary action in accordance with applicable laws after the order is finalized.

  • If the product cannot be provided due to being out of stock, defective, discontinued, or for any other reason
  • If there is an error in the product page, price, stock availability, shipping fee, or any other displayed information
  • If the information entered by the customer contains an error, is incomplete, or requires confirmation
  • If the Company reasonably determines that the order is fraudulent, mischievous, or otherwise inappropriate
  • If the Company reasonably determines that the order is for resale, commercial resale, bulk purchase for profit, or otherwise exceeds the scope of normal personal use
  • If payment is not completed properly
  • If the customer requests delivery to a region outside the sales area of the Site
  • If the Company otherwise reasonably determines that accepting the order is inappropriate

If the Company is unable to accept an order, or if confirmation becomes necessary after the order has been finalized, the Company will contact the customer, to the extent possible, at the email address or other contact information registered at the time of ordering.

Article 6. Prices and Payment

Unless otherwise stated, product prices listed on the Site include tax.

For delivery within Japan, the Site offers free shipping nationwide.

Product prices, sales conditions, campaigns, discounts, and other displayed information may be changed without prior notice. In principle, the price applied to an order shall be the price displayed on the Site at the time the order is placed.

Prices displayed on the Site may differ from prices offered at physical stores, other online stores, or sales channels operated by external services.

Customers shall select their preferred payment method from the payment methods available on the Site.

If a prepaid payment method is used, shipment will be arranged after payment is confirmed. If payment is not confirmed within the specified period, the order may be canceled.

Payment processing may be carried out through Shopify, payment processors, credit card companies, or other payment service providers. If separate terms of use of such service providers apply to payment, the customer shall also comply with those terms.

Customers shall provide accurate and valid purchase information, payment information, and contact information when placing an order.

Article 7. Shipping

Details regarding shipping on the Site shall be governed by the separate “Shipping Policy” page.

This Site only accepts orders for delivery within Japan. We do not ship overseas from this Site.

After confirming the order details, we usually ship within 1 to 3 business days, excluding store holidays. If a prepaid payment method is used, shipment will be arranged after payment is confirmed.

If no delivery date or time is specified, we will usually arrange shipment so that the order is delivered as soon as possible. However, specified delivery dates and times, as well as earliest possible delivery, are not guaranteed.

Shipment or delivery may be delayed due to severe weather, traffic conditions, congestion at delivery companies, disasters, system failures, or other circumstances beyond our control.

Article 8. Cancellations, Returns, and Exchanges

Cancellations, returns, and exchanges after an order has been confirmed shall be governed by the separate “Refund Policy.”

If shipment arrangements have already been completed or the order has already been shipped, cancellation may not be accepted.

After receiving the product, please check the contents as soon as possible. If the delivered product is damaged, soiled, incorrectly delivered, missing items, or otherwise incorrect, please contact the Company as soon as possible after receiving the product.

For the availability, conditions, deadlines, return shipping responsibility, and other details regarding returns and exchanges for customer convenience, please review the “Refund Policy” posted on the Site.

We may not accept returns or exchanges for products that have been used, washed, altered, repaired, hemmed, or otherwise processed, products with missing tags or accessories, or products that the Company determines cannot be resold.

Article 9. Optional Tools and External Functions

The Site may use functions and tools provided by Shopify, payment services, shipping-related services, analytics tools, and other external services.

These external functions and tools may be provided based on the terms, specifications, and available scope determined by each provider.

Some functions of the Site may become unavailable due to changes in specifications, suspension, malfunction, usage restrictions, or other circumstances affecting external services.

The Company may add, change, or discontinue new functions, tools, services, or other features on the Site as necessary. Such functions and services shall also be subject to these Terms as part of the Site.

Article 10. External Services and Links

The Site may contain links to Shopify, payment services, delivery companies, brands, manufacturers, and other external services or external websites.

Use of external services or external websites may be subject to the terms, policies, and conditions established by the relevant external service providers.

Except where the Company is responsible for the cause, the Company shall not be liable for the content, accuracy, safety, use, failures, or other matters related to external services or external websites.

Article 11. Relationship with Shopify

The Site is operated using services provided by Shopify Inc. and its affiliates.

However, the Company is responsible for product sales, order handling, shipping, returns and exchanges, and customer inquiries on the Site.

Customers shall contact the Company regarding purchases and transactions on the Site, returns and exchanges, and any other related matters.

Shopify is a service provider that provides the operating platform for the Site, and is not a party to the sales contract between the Company and the customer.

Article 12. Handling of Personal Information

The Company handles customers’ personal information in accordance with the Company’s “Privacy Policy.”

Because the Site is operated using Shopify, some information related to customers’ use of the Site may be processed by Shopify and related service providers.

Please review the “Privacy Policy” posted on the Site for details regarding the handling of personal information.

Article 13. Feedback and Submitted Content

If a customer sends impressions, opinions, suggestions, inquiries, or other feedback to the Company, the Company may use such feedback for the operation of the Site, service improvement, improvement of product descriptions, response to inquiries, quality improvement, and other purposes, while giving due consideration to the handling of personal information.

Customers shall ensure that the content they submit does not infringe the copyrights, trademarks, privacy, reputation, credit, or any other rights of third parties.

The Company may restrict the use of content that it reasonably determines to be illegal, inappropriate, false, misleading, infringing on third-party rights, or otherwise inappropriate.

Personal information shall be handled appropriately in accordance with the Company’s Privacy Policy.

Article 14. Errors, Inaccuracies, and Omissions

Information on the Site may contain typographical errors, misstatements, inaccuracies, omissions, or other errors regarding product descriptions, prices, stock availability, campaigns, shipping information, sales conditions, or other content.

If there is any error, inaccurate display, or omission in the information on the Site, the Company may correct, change, or update such information without prior notice as necessary.

If an error in price, stock availability, product specifications, or other important information is discovered after an order has been placed, the Company may contact the customer to discuss confirmation, correction, change, or cancellation of the order details.

Article 15. Prohibited Acts

Customers shall not engage in any of the following acts when using the Site.

  • Acts that violate laws, regulations, or public order and morals
  • Entering false or inaccurate information
  • Impersonating a third party
  • Using unauthorized payment methods
  • Infringing the rights, interests, reputation, credit, or privacy of the Company, other customers, or third parties
  • Interfering with the operation of the Site
  • Unauthorized access, excessive access, or acts that place an excessive burden on the Site
  • Sending or using viruses, malware, or other harmful programs
  • Spam, phishing, fraud, nuisance acts, or similar acts
  • Resale, commercial resale, bulk purchases for profit, or any other acts reasonably determined to exceed the scope of normal personal use
  • Copying, reproducing, collecting, or using content, images, text, product information, or other materials on the Site without permission
  • Any other acts reasonably determined by the Company to be inappropriate

If a customer violates these prohibited acts, or if the Company reasonably determines that a customer has violated them, the Company may cancel orders, suspend the account, restrict use of the Site, or take other necessary measures.

Article 16. Use of Automated Tools, Bots, AI Agents, and Similar Means

Customers shall not, without the Company’s prior permission, access the Site, obtain information, place orders, or use functions of the Site by means of bots, crawlers, scraping tools, automated purchasing tools, data collection tools, AI agents, or any other automated means for improper purposes, in a manner that interferes with the normal operation of the Site, or in a manner that places an excessive burden on the Site.

For the stable operation of the Site, prevention of unauthorized use, protection of inventory, and ensuring security, the Company may restrict, block, or suspend unauthorized or inappropriate access by technical means or other methods.

Normal crawling by search engines and other access permitted by the Company shall not be included in the prohibited acts under this Article.

Article 17. Intellectual Property Rights

Copyrights, trademarks, and other intellectual property rights related to text, images, photographs, logos, designs, product descriptions, graphics, videos, and all other content posted on the Site belong to the Company or to third parties who have legitimate rights.

Customers may not copy, reproduce, modify, distribute, sell, publish, transmit, or otherwise reuse any content on the Site without the prior permission of the Company or the rights holder.

Brand names, product names, company names, logos, and other names posted on the Site may be trademarks or registered trademarks of their respective owners.

Article 18. Suspension and Termination of Use

If a customer violates these Terms, or if there is a reasonable reason such as prevention of unauthorized use, ensuring security, stable operation of the Site, or other similar circumstances, the Company may restrict the customer’s use of the Site, suspend the account, cancel orders, or take other necessary measures without prior notice to the customer.

The Company may temporarily suspend or terminate all or part of the Site due to maintenance, system failures, service changes, suspension of external services, or other unavoidable circumstances.

Provisions of these Terms that by their nature should survive termination shall remain valid after the customer’s use of the Site ends or after these Terms are terminated.

Article 19. Disclaimer

The Company makes every effort to post accurate and up-to-date information on the Site, but does not guarantee the accuracy, completeness, usefulness, or timeliness of the content of the Site.

The Company may change, suspend, or discontinue the content of the Site, product information, prices, stock availability, sales conditions, or service content without prior notice.

Except where the Company is responsible for the cause, the Company shall not be liable for damages incurred by customers due to severe weather, traffic conditions, disasters, communication environments, system failures, failures of external services, or other circumstances not attributable to the Company.

However, if the Company’s liability cannot be exempted or limited under applicable laws, the provisions of such laws shall apply.

Article 20. Limitation of Liability

If damage is caused to a customer due to the Company’s ordinary negligence and the Company is liable for damages, the scope of such liability shall be limited, to the extent permitted by law, to ordinary and direct damages.

However, the limitation in the preceding paragraph shall not apply if damage is caused to a customer due to intentional misconduct or gross negligence by the Company, its representative, or its employees, or if limitation of liability is not permitted by law.

Article 21. Indemnification

If the Company, Shopify, external service providers, or any other third party suffers damages, losses, costs, claims, or other harm due to the customer’s intentional or negligent violation of these Terms, violation of laws or regulations, infringement of third-party rights, or use of the Site by unauthorized or inappropriate means, the customer shall be responsible for indemnifying such damages and other harm to the extent permitted by law.

Article 22. Force Majeure

The operation of the Site, shipment of products, order handling, and other service provision may be delayed or become difficult due to natural disasters, fire, power outages, communication failures, system failures, delays by delivery companies, traffic conditions, infectious diseases, requests or orders by government authorities, amendments to laws and regulations, or other circumstances beyond the Company’s reasonable control.

Except where the Company is responsible for the cause, the Company shall not be liable for delays, suspension, damages, or other consequences arising from such force majeure events.

Article 23. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable under applicable laws or by a court decision, such invalidity, illegality, or unenforceability shall not affect the validity or enforceability of the remaining provisions of these Terms.

Article 24. Waiver and Entire Agreement

Failure or delay by the Company to exercise any right under these Terms shall not be deemed a waiver of such right.

These Terms, together with all policies, notices, and information posted on the Site, constitute the agreement between the Company and the customer regarding use of the Site.

Article 25. Assignment of Rights and Obligations

Customers may not assign, transfer, pledge, or otherwise dispose of their status, rights, or obligations under these Terms to any third party without the Company’s prior written consent.

The Company may transfer or assign its contractual status, rights, or obligations related to the Site to a third party due to business transfer, merger, company split, or other business reasons.

Article 26. Governing Law and Dispute Resolution

The formation, validity, performance, and interpretation of these Terms shall be governed by the laws of Japan.

If any dispute arises between the Company and a customer in connection with use of the Site or these Terms, the Company and the customer shall seek to resolve the dispute through good-faith consultation.

If the dispute cannot be resolved through consultation, the court having jurisdiction under applicable laws shall be the court of first instance.

Article 27. Headings

The headings of each Article in these Terms are provided for convenience only and shall not affect the interpretation of these Terms.

Article 28. Changes to These Terms

The Company may change the content of these Terms to the extent permitted by law if any of the following applies.

  • If the change conforms to the general interests of customers
  • If the change does not contradict the purpose of these Terms and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, and other circumstances

When changing these Terms, the Company will notify customers of the changed content and the effective date by posting on the Site or by other appropriate means.

The changed Terms shall apply from the effective date announced by the Company.
